1. Acceptance of Terms
By accessing or using GoValidate.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and GoValidate.ai.
2. Eligibility
You must be at least 13 years of age to use GoValidate.ai. If you are between 13 and 18 years of age, you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Scope of Service & Local Execution
GoValidate.ai provides browser-first validation, data cleaning, and reconciliation tools. By using our service, you acknowledge that all core file processing (including file parsing, column profiling, data quality analysis, and join reconciliation) occurs locally on your device within your browser's sandboxed environment. You are responsible for ensuring your device meets the technical requirements to execute these operations.
4. Disclaimer of Warranties ("As Is")
GoValidate.ai is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, GoValidate.ai disclaims all warranties, including but not limited to:
- Data Quality & Accuracy: We do not warrant that our validation engine will catch 100% of data errors, outliers, duplicates, or PII instances. Our tools provide statistical indicators and estimates based on bounded reservoir samples and heuristics.
- Decision-Making Risk: GoValidate.ai is not an accounting, financial, legal, or tax advisory service. You are solely responsible for verifying the correctness of all validation outputs, joins, and reconciliation metrics before using them in dashboards, reports, or business transactions. - Technical Failures: We do not guarantee uninterrupted or error-free operations of the client interface or associated backend API limits check.
5. Limitation of Liability
In no event shall GoValidate.ai, its developers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business data,
- Downstream business decisions, financial reporting errors, or tax discrepancies,
- Data corruption, or service interruption,
even if advised of the possibility of such damages. Under no circumstances shall our total aggregate liability for all claims arising out of or related to your use of the Service exceed the fees actually paid by you to GoValidate.ai during the preceding 12-month period, or $50 USD, whichever is greater.
6. Intellectual Property & Dataset Curation
All software, logos, designs, brand marks, and curated public datasets served via our search features are the proprietary intellectual property of GoValidate.ai. You are granted a limited, non-exclusive, non-transferable, revocable license to query and merge these datasets locally for validation purposes.
Prohibited Actions: You may not:
- Perform automated scraping, downloading, or extraction of our curated public datasets in bulk,
- Reverse-engineer or bypass the sandboxing and network constraints of our local-only execution tools,
- Attempt to circumvent validation limits, usage limits, or quota enforcement mechanisms.
7. Prohibited Uploads and Malware Protection
You agree not to attempt to upload, validate, or process files containing malicious payloads, macro exploits, or formats engineered to compromise browser sandboxes. Although we block macro-enabled (.xlsm, .xlsb) and legacy formats client-side to enforce security, attempts to bypass these filters to inject code are strictly prohibited and will result in access termination.
8. Account Access & Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.
9. User-Provided Data
Because GoValidate.ai operates browser-first, we do not store or claim ownership of your raw file contents. You retain all rights to the data you process locally. You warrant that you have the right to process such data using our tools.
10. Third-Party Services
Our platform may link to or integrate with third-party services. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services.
11. Payment Terms
GoValidate.ai is currently provided free of charge. We reserve the right to introduce paid tiers in the future. Any applicable payment terms, billing cycles, and refund policies will be clearly communicated prior to any charge being applied.
12. Suspension and Termination
We reserve the right to suspend or terminate your access to GoValidate.ai at any time, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.
13. Indemnification
You agree to indemnify, defend, and hold harmless GoValidate.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your infringement of any third-party rights, or your use of the Service in a manner not authorized by these Terms.
14. Governing Law & Dispute Resolution
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be resolved through binding arbitration conducted in English, rather than in court, except that either party may assert claims in small claims court if the claims qualify. You agree that any arbitration shall be limited to the dispute between you and GoValidate.ai individually, and shall not be consolidated with any other proceedings.
15. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of GoValidate.ai after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
16. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, Cookie Policy, and Product Disclaimer, constitute the entire agreement between you and GoValidate.ai regarding your use of the Service.
