1. Acceptance of Terms
By accessing or using GoValidate.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms are a contract between you and GoValidate LLC, a New York limited liability company. GoValidate LLC operates the Service.
2. Eligibility
You must be at least 18 years of age to use GoValidate.ai. By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Scope of Service & Local Execution
Data Quality, Reconcile, and Editor are browser-first tools for CSV, Excel, and JSON files. For those tools, file parsing, column profiling, and reconciliation run on your device, in your browser. You are responsible for the device you use for that work.
Validation Lock is hosted. Its comparison makes read-only requests for one Power BI number and one number from a warehouse you connect. The Lock compares those numbers and can watch that pair; it does not run only on your device. We do not copy your warehouse tables into our database. The hosted records are described in the Privacy Policy: connection metadata and credential references, the Lock definition, bounded run history, audit records, run-replay records, watch records, billing records, and alert email records.
4. Disclaimer of Warranties ("As Is")
GoValidate.ai is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, GoValidate.ai disclaims all warranties, including but not limited to:
- Data Quality & Accuracy: We do not warrant that our validation engine will catch 100% of data errors, outliers, duplicates, or PII instances. Our tools provide statistical indicators and estimates based on bounded reservoir samples and heuristics.
- Decision-Making Risk: GoValidate.ai is not an accounting, financial, legal, or tax advisory service. You are solely responsible for verifying the correctness of all validation outputs, joins, and reconciliation metrics before using them in dashboards, reports, or business transactions. - Technical Failures: We do not guarantee uninterrupted or error-free operations of the client interface or associated backend API limits check.
5. Limitation of Liability
In no event shall GoValidate LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business data,
- Downstream business decisions, financial reporting errors, or tax discrepancies,
- Data corruption, or service interruption,
even if advised of the possibility of such damages. Under no circumstances shall our total aggregate liability for all claims arising out of or related to your use of the Service exceed the fees actually paid by you to GoValidate LLC during the preceding 12-month period, or $50 USD, whichever is greater.
6. Intellectual Property & Dataset Curation
All software, logos, designs, brand marks, and curated public datasets served via our search features are the proprietary intellectual property of GoValidate LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to query and merge these datasets locally for validation purposes.
Prohibited Actions: You may not:
- Perform automated scraping, downloading, or extraction of our curated public datasets in bulk,
- Reverse-engineer or bypass the sandboxing and network constraints of our local-only execution tools,
- Attempt to circumvent validation limits, usage limits, or quota enforcement mechanisms.
7. Prohibited Uploads and Malware Protection
You agree not to attempt to upload, validate, or process files containing malicious payloads, macro exploits, or formats engineered to compromise browser sandboxes. Although we block macro-enabled (.xlsm, .xlsb) and legacy formats client-side to enforce security, attempts to bypass these filters to inject code are strictly prohibited and will result in access termination.
8. Account Access & Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.
9. User-Provided Data
For Data Quality, Reconcile, and Editor, we do not store your raw file contents and we do not claim ownership of them. You keep all rights in the files you process on your device. You warrant that you have the right to process that data with those tools.
For Validation Lock, you keep ownership of your report and your warehouse. We store the hosted records named in section 3 and in the Privacy Policy. You warrant that you have the right to connect those sources and to let us read the numbers the Lock compares.
10. Third-Party Services
Our platform may link to or integrate with third-party services. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services.
11. Payment Terms
Data Quality, Reconcile, and Editor are offered on this website without a charge. A Validation Lock pilot is agreed in a signed order form or as otherwise offered in the product. Fees are set in the signed order form or in the terms presented in the product, as applicable.
12. Suspension and Termination
We reserve the right to suspend or terminate your access to GoValidate.ai at any time, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.
13. Indemnification
You agree to indemnify, defend, and hold harmless GoValidate LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your infringement of any third-party rights, or your use of the Service in a manner not authorized by these Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York. Before filing any claim, each party will first try to resolve the dispute informally by contacting the other for at least 30 days. If it is not resolved, any claim will be brought in the state or federal courts located in New York, and each party consents to their jurisdiction. Any proceeding is between you and GoValidate LLC individually.
15. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of GoValidate.ai after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
16. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, Cookie Policy, and Product Disclaimer, are the agreement between you and GoValidate LLC about your use of the Service. Where a signed Validation Lock order form conflicts with these Terms, the signed order form controls.
